1. Introduction

Welcome to BizCore™ and BizCore Pro™ ("the Platform"), a comprehensive business management and compliance solution developed and operated by SGK Apps ("Company", "we", "us", or "our").

By accessing or using our Platform, you agree to be bound by these Terms & Conditions. If you disagree with any part of these terms, you may not access the Platform.

2. Use of Service

2.1 Eligibility

You must be at least 18 years old and have the legal authority to enter into this agreement on behalf of yourself or your organization.

2.2 Account Registration

You must provide accurate, complete, and current information during registration

You are responsible for maintaining the confidentiality of your account credentials

You must notify us immediately of any unauthorized use of your account

Attempt to gain unauthorized access to any portion of the Platform

Interfere with or disrupt the Platform's operations

Upload malicious software or harmful content

Share your account credentials with unauthorized parties

3. User Responsibilities

3.1 Data Accuracy

You are solely responsible for the accuracy, quality, and legality of data you input into the Platform, including but not limited to:

Financial records and transactions

Employee information

Tax-related data

Business documents

3.2 Compliance

You are responsible for ensuring your use of the Platform complies with all applicable laws and regulations in your jurisdiction, including:

**India**: Goods and Services Tax (GST) laws, Income Tax Act, Companies Act 2013, and regulations issued by the Central Board of Indirect Taxes and Customs (CBIC)

**UAE**: Federal Tax Authority (FTA) requirements for VAT and Corporate Tax

Other applicable local, national, and international regulations

3.3 Tax Compliance Notice

For Indian Users (GST):

You must ensure your GSTIN is valid and active

HSN/SAC codes must be correctly applied to all goods and services

GSTR-1, GSTR-3B, and other returns generated by the Platform must be verified before filing

E-Invoice and E-Way Bill requirements must be independently verified

For UAE Users (VAT):

Ensure TRN is correctly registered with FTA

VAT returns must be verified before submission

3.4 Backup

While we maintain backups of Platform data, you are encouraged to maintain your own backups of critical business information.

4. Account Security

4.1 Password Protection

Use strong, unique passwords for your account

Enable multi-factor authentication when available

Change passwords regularly

4.2 Access Control

Assign appropriate roles and permissions to users within your organization

Regularly review and update user access rights

Immediately revoke access for terminated employees

5. Data Usage

5.1 Your Data

You retain all rights to the data you input into the Platform. We will not sell, rent, or share your data with third parties except as necessary to provide our services or as required by law.

5.2 Platform Improvements

We may use aggregated, anonymized data to improve our Platform and services. This data cannot be used to identify you or your business.

5.3 Analytics

We collect usage analytics to improve user experience and Platform performance.

6. Limitation of Liability

6.1 No Warranty

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

6.2 Limitation

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SGK APPS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

Loss of profits or revenue

Loss of data

Business interruption

Tax penalties or fines resulting from errors in calculations

6.3 Maximum Liability

Our total liability shall not exceed the amount paid by you for the Platform services in the twelve (12) months preceding the claim.

7. Service Availability

7.1 Uptime

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access to the Platform.

7.2 Maintenance

We may perform scheduled maintenance that temporarily affects Platform availability. We will provide advance notice when possible.

7.3 Force Majeure

We shall not be liable for any failure to perform due to circumstances beyond our reasonable control.

8. Modifications

8.1 Platform Changes

We reserve the right to modify, suspend, or discontinue any aspect of the Platform at any time.

8.2 Terms Updates

We may update these Terms & Conditions periodically. Continued use of the Platform after changes constitutes acceptance of the modified terms.

8.3 Notification

We will notify you of significant changes to these terms via email or Platform notification.

9. Governing Law

9.1 Jurisdiction

These Terms & Conditions shall be governed by and construed in accordance with:

For Indian users: The laws of India, including the Information Technology Act, 2000 and applicable GST laws

For UAE users: The laws of the United Arab Emirates

For other users: The laws of the jurisdiction where the Company is incorporated

9.2 Dispute Resolution

For Indian Users:

Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra, India. Alternatively, disputes may be resolved through arbitration in accordance with the Arbitration and Conciliation Act, 1996.

For UAE Users:

Any disputes arising from these terms shall be resolved through arbitration in Dubai, UAE, in accordance with the rules of the Dubai International Arbitration Centre (DIAC).
